Welcome to Online Free Invoice, a service owned and operated by Acme Technologies Inc., a corporation registered and operating under the laws of the province of British Columbia, Canada (“Acme”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your use of our invoicing software platform, including the website, web application and all associated services (collectively, the “Service”).
By accessing, registering, or using the Service, you (“you”, “your”, or “User”) agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you may not access or use the Service.
“Service”: All digital services provided by Acme Technologies Inc. including the website (https://onlinefreeinvoice.com), web and mobile applications, newsletters, and customer support.
“User” or “Customer”: Any individual or legal entity who registers, subscribes, or accesses the Service.
“Agreement”: The legally binding contract formed between you and Acme Technologies Inc. through your acceptance of these Terms.
“Content”: Any data, text, graphics, or materials uploaded or generated by Users while using the Service.
“Applicable Law”: All laws and regulations applicable in the jurisdiction of British Columbia, Canada, or other jurisdictions in which the Service is accessed.
Welcome to Online Free Invoice, an invoicing and business management platform provided by Acme Technologies Inc., a company registered in British Columbia, Canada (“Acme”, “we”, “us”, or “our”). These Terms and Conditions form a legally binding agreement between you (whether as an individual or on behalf of a business entity) and Acme Technologies Inc., governing your use of and access to our services.
By registering for, accessing, or using the OnlineFreeInvoice.com platform, you acknowledge that you have read, understood, and agreed to these Terms and Conditions, including our Privacy Policy and Data Protection Policy, which together make up this Agreement. If you do not agree with these Terms, you must not use the Service.
The Service is intended for use by entrepreneurs, businesses, and professionals. By accepting these Terms and Conditions, you confirm and guarantee that:
You are legally permitted to enter into this Agreement under the laws of your jurisdiction;
You are at least 16 years old;
If you are acting on behalf of a company or other legal entity, you have the authority to bind that entity, and all references to “you” or “your” in this Agreement shall apply to that entity.
You may allow third parties (e.g., employees, accountants, or collaborators) to use parts of the Service via your account. You are fully responsible for ensuring that any such individuals comply with these Terms and Conditions, and their actions will be treated as your own under this Agreement.
We reserve the right to update or modify these Terms and Conditions at any time. Any changes will become effective upon being posted on our website or within the application. Your continued use of the Service after such changes means you accept the updated terms. It is your responsibility to review this Agreement periodically.
These Terms and Conditions apply to all versions of the Service, including our website, mobile applications, desktop tools, and any future developments made available by Acme Technologies Inc.
Acme Technologies Inc. (“Company”) grants you (“Customer” or “User”) a limited, non-exclusive, non-transferable, and revocable right to access and use the OnlineFreeInvoice software platform and any associated mobile or web-based applications (the “Service”) solely for your internal business use, subject to these Terms and Conditions. This right includes access to any standard updates or enhancements to the Service provided by the Company.
Access to certain features of the Service requires you to create a user account (“Account”). You agree to provide accurate, current, and complete information during registration and to keep such information updated. You are solely responsible for:
Maintaining the confidentiality of your login credentials;
Ensuring the security of your Account;
All activities that occur under your Account, whether by you or by others who have been granted access.
Accounts are personal or organizational and may not be transferred, leased, or shared outside of your designated team. You must notify the Company immediately if you suspect any unauthorized access or use of your Account. As the Account holder, you are liable for any usage or charges by any user granted access through your Account.
You agree not to:
Sell, rent, sublicense, distribute, publish, assign, or otherwise share access to the Service with third parties except as expressly allowed;
Reverse engineer, decompile, disassemble, or attempt to derive the source code or any underlying ideas, algorithms, or structure of the Service;
Extract or harvest data using techniques like “screen scraping,” “web scraping,” or similar methods;
Upload or transmit any illegal, harmful, obscene, infringing, or otherwise objectionable content;
Use the Service to store or process sensitive personal data governed by HIPAA, PCI DSS, or any similarly regulated data standards;
Transmit any viruses, malware, or other harmful code through the Service;
Monitor or assess the Service for competitive analysis, benchmarking, or similar purposes;
Use the Service to create a competing product or service;
Permit access to the Service by anyone other than your authorized employees or contractors acting on your behalf.
You acknowledge and agree that Acme Technologies Inc. may, from time to time, update, enhance, modify, or discontinue certain features or functionalities of the OnlineFreeInvoice Service. This may include, without limitation, the deployment of patches, bug fixes, performance improvements, new tools, applications, or feature upgrades (collectively, “Updates”).
Such Updates may be automatically deployed without prior notice, and by using the Service, you agree that these Updates are part of the Service and are governed by this Agreement. In some cases, you may be required to install or accept an Update in order to continue accessing or using the Service or specific features within it.
Acme Technologies Inc. may, at its sole discretion, make the availability or use of certain new features or enhancements contingent upon your acceptance of additional terms or the payment of additional fees. All Updates, enhancements, or newly introduced functionalities are provided “as is” and Acme Technologies Inc. does not guarantee that any such changes will meet your requirements or expectations.
Support for the Service, including email, live chat, and online self-help resources, is provided in accordance with Acme Technologies Inc.’s then-current support policies. Additionally, Acme Technologies Inc. reserves the right to modify, limit, or discontinue any part of the Service, or its support offerings, at any time without incurring any liability to you.
The Company reserves the right to suspend or restrict access to the Service under the following conditions:
To prevent harm to or misuse of the Service;
To conduct maintenance, upgrades, or resolve technical issues;
In the event of payment delinquency or breach of this Agreement;
In emergencies or events beyond our control.
Whenever possible, we will provide advance notice of suspension and restore access promptly once the issue has been resolved.
We, Acme Technologies Inc., are the exclusive owner of all property rights and other intellectual property rights related to the OnlineFreeInvoice service (“the Service”). By accepting these Terms of Use (TOU) and using the Service, you do not acquire any ownership or intellectual property rights related to the Service. In particular, you are not permitted to alter, modify, interfere with, process, adapt, create derivative works from, or copy the Service in whole or in part, nor may you distribute or duplicate the Service in any form.
All parts of the Service — including graphic elements, layouts, text, interfaces, and other components — are protected under applicable laws in Canada and international intellectual property laws. Use of the Service in any way not explicitly allowed in these TOU requires our prior written consent. You are not permitted to use the OnlineFreeInvoice trademark, logo, or any visual elements of the platform without express permission.
As a user of the Service, you agree:
Not to record, store, transmit, or distribute content via the Service that is illegal, defamatory, offensive, fraudulent, or otherwise inappropriate;
Not to use the Service in any fraudulent or abusive manner;
To use the Service only as permitted, in accordance with these TOU and applicable laws in British Columbia, Canada, and your local jurisdiction;
Not to use (or help others use) the Service in a way that violates, misappropriates, or infringes upon our rights, the rights of other users, or third parties — including intellectual property, privacy, and publicity rights;
Not to resell, rent, or provide access to the Service, whether paid or unpaid, without our consent (e.g., offering the platform under your own SaaS or hosting arrangement);
To access the Service only through the interfaces, web applications, and mobile apps provided by us — and not through unauthorized tools or methods;
Not to reverse-engineer, decompile, or attempt to modify the source code or internal logic of the Service.
The Service is not provided under any freeware or open-source license (such as GNU GPL or similar licenses).
We reserve the right to suspend, restrict, or terminate your access to the Service if we determine that your use violates these TOU or otherwise interferes with the functionality or integrity of the platform. In such cases, we may delete any content you have provided to the Service.
Support and maintenance are provided only during active, paid subscription periods, and are subject to our internal support policy. Support includes access to software releases, including bug fixes, patches, and enhancements. Users of the free version of the Service are not guaranteed access to support or updates.
Unless permitted under binding legal provisions, the restrictions outlined in this section apply in all cases. If we offer downloadable components (e.g., mobile apps), these may be updated automatically or manually via the respective app store (Google Play, Apple App Store). You are also subject to those third-party app store terms where applicable.
We grant you a worldwide, non-exclusive, personal, non-transferable, non-sublicensable license to use our software solely for the purpose of utilizing OnlineFreeInvoice as outlined in these TOU.
Unless otherwise stated, the Service allows you to store, manage, and send content. You are solely responsible for any content you upload to the platform and for ensuring you have the legal rights to use and manage such content, including business and personal data. You retain ownership of your data and content (including any IP rights).
We may send you emails, notifications, reports, and similar communications related to the Service, features, or offers. You may unsubscribe at any time using the ‘Unsubscribe’ option or by contacting us directly.
We reserve the right to display our own or third-party advertisements throughout the platform at our discretion. As a user, you consent to the display of such advertisements.
The Service is offered on a subscription basis with paid plans that include specific terms as outlined in your subscription agreement.
The platform may contain links to external websites or third-party content. We do not control or verify these sources and are not responsible for their content or availability.
To use all features of OnlineFreeInvoice, you must create an account through our website or mobile app (Coming Soon). Your account is identified by your email and secured with a password. We recommend choosing a strong password containing uppercase/lowercase letters, numbers, and symbols.
You are responsible for protecting your login credentials and must not share them with unauthorized parties. We will never request your password via email or phone.
If you forget your password, you may reset it via our website or support team. We are not liable for any loss resulting from unauthorized access to your account.
We may request additional information (e.g., country, business name, invoice number, etc.) to improve your experience with the Service. We may auto-detect language or region based on browser or device settings.
By creating an account, you agree to:
Provide accurate and complete registration information;
Keep your account information up to date;
Secure your password and login details;
Ensure data you upload to the Service is lawful and authorized for use;
Comply with all applicable data privacy laws, including GDPR or similar local regulations;
Protect any third-party data that you upload to the Service.
You confirm that:
You have obtained all required rights to upload and use the data;
Your data and its transfer do not violate any laws or third-party rights;
You have the legal right to share, store, and manage this data on our platform.
You agree to defend and indemnify Acme Technologies Inc., our affiliates, officers, and employees against any claims or legal expenses arising from your use of the Service or any data you upload or actions you take through the platform.
You are solely responsible for complying with your own data retention and regulatory obligations.
In the event of cancellation or suspension of your account, we may block, delete, or restrict access to your account and stored content. Upon request, we will allow you to export or download your data in a supported format. Permanent deletion of content will only be performed upon your request and in compliance with applicable laws.
We are not responsible for the content or consequences of any data stored, transmitted, or shared through the Service.
As a user of OnlineFreeInvoice, you are fully responsible for keeping your login details (email and password) safe and secure. Any actions or instructions made through your account — including sending invoices, receiving payments, or updating client information — are considered authorized by you, whether you performed them or someone else accessed your account using your login.
If you choose to share your login details with anyone, you do so at your own risk. We treat that access as if it came directly from you. You’ll be held responsible for all activities carried out under your account, even if they are unauthorized.
Our system includes security features designed to help protect your account and data. These include password protection, login tracking, and verification checks. While we work hard to keep your data safe, it’s also up to you to follow best practices — like using strong passwords and not sharing your login with others.
If you believe someone else has accessed your account or your login information has been compromised, please contact our support team right away so we can help secure your account.
OnlineFreeInvoice is intended strictly for business use. By registering and using the Service, you confirm and agree that you are using it for business-related activities only. The Service is not intended for personal, family, or household use, and you represent and warrant that your use aligns with commercial or professional purposes.
Acme Technologies Inc. reserves the right to modify, enhance, suspend, or discontinue any part of the OnlineFreeInvoice Service at any time, with or without prior notice. This includes but is not limited to changes in functionality, features, user interface, or service offerings. We may also implement new limitations or requirements that affect how the Service is accessed or used.
Such changes are made to improve the user experience, adapt to market and legal requirements, or maintain the performance and security of the platform. Your continued use of the Service following any such updates constitutes your acceptance of the modifications.
All rights, title, and interest in and to the OnlineFreeInvoice Service, including but not limited to its design, features, functionality, trademarks, copyrights, and any related materials (excluding Customer Content), are and shall remain the exclusive property of Acme Technologies Inc. and its licensors. Except as expressly provided in this Agreement, no other rights or licenses are granted to you. You agree not to copy, modify, distribute, reverse engineer, or create derivative works based on the Service or any part of it, except as permitted by law.
Any suggestions, feedback, ideas, or comments you provide regarding the Service may be used by Acme Technologies Inc. without any obligation to you. By submitting feedback, you waive any rights to compensation, credit, or ownership in relation to such input, and acknowledge that the Company may use it freely to improve or enhance the Service.
Subject to these Terms, including Section 8 (Usage Plans, Fees, and Beta Releases), you are granted a limited, non-exclusive right to access and use OnlineFreeInvoice during your active subscription period for your internal business operations and to serve your customers, clients, or business partners (“End Customers”).
You may use the Product to:
Create, send, and manage professional invoices, estimates, and quotes;
Maintain and organize End Customer data;
Build and publish a website for your business using our tools;
Download and operate the software on compatible devices under your control.
You may allow authorized employees or agents to use the Product on your behalf. However, you remain fully responsible for their actions, any misuse, and compliance with these Terms.
You may not, and may not permit others to:
Rent, lease, sublicense, reproduce, modify, or redistribute the Product;
Use the Product to build or offer a competing service;
Attempt to bypass any usage limits or security controls built into the system;
Reverse-engineer, disassemble, or attempt to extract the source code or internal logic;
Share performance metrics or internal test results publicly;
Introduce malicious software or content that could harm the platform;
Access or attempt to access accounts, data, or content belonging to other users;
Use the platform to transmit spam or unsolicited messages;
Use the platform in any way not explicitly permitted by this Agreement.
Where applicable, OnlineFreeInvoice may offer a reviews feature allowing End Customers to leave feedback or ratings. While Acme Technologies Inc. may enable End Customers to update their reviews, we are not obligated to remove, edit, or mediate reviews. All reviews reflect the opinions of the individual reviewers.
1. Subscription Fees and Payment Conditions
1.1 Subscription Fees
The fees for using OnlineFreeInvoice and its features (hereinafter referred to as “Subscriptions”) are set forth on our website. By using our service, you agree to pay these fees in accordance with the payment terms provided on our website, mobile app, or any promotional emails sent by us.
1.2 Changes to Fees
We reserve the right to introduce paid features or convert previously free services into paid services. Should such a change occur, we will notify you in advance. You will not be charged for any service without your consent. If you do not agree with the new charges, you may opt out by canceling your account, at which point your access to the service will be terminated.
1.3 Subscription Options
We offer various types of subscriptions, each granting different access to features or functionality. The specifications for each subscription type are listed on our website. You cannot modify or upgrade a subscription for a higher or lower fee, but you can opt for an upgrade to a higher subscription if the service allows.
1.4 Billing Frequency
Subscriptions are billed either on a monthly or annual basis, depending on your chosen plan. Payments are processed via PayPal, Visa, MasterCard, or direct debit.
1.5 Automatic Renewals
Subscriptions renew automatically after the chosen period (monthly or annually). You will be notified via email before the renewal date, with instructions on how to stop automatic renewals if desired. You may manage your subscription preferences directly in your user account.
1.6 Trial Period
We may offer a 30 days free trial period, during which the service can be used free of charge. At the end of the trial period, if you wish to continue using the service, you will be charged the subscription fee or Free plan. The duration and conditions of the trial period will be specified at the time of registration.
1.7 Refunds
All fees paid for the service are generally non-refundable, except as required by applicable law. We may offer a 30-day money-back guarantee at our sole discretion, in which case you may request a refund within 30 days of your payment. After 30 days, no refunds will be issued. Refunds are issued only in the following conditions:
Unauthorized duplicate billing caused by platform error;
Service unavailability exceeding 48 continuous hours for paid users (upon written request);
A 30-day money-back guarantee if requested within the first subscription month (only once per user).
All other payments are non-refundable.
If your subscription payment is not successfully completed by the renewal date, your account will be automatically downgraded to the free plan. During this time, certain features and functionalities may become restricted or unavailable.
We do not charge late fees or interest for non-renewal. However, to regain access to premium features, you must re-subscribe to a paid plan.
We reserve the right to delete inactive accounts or data associated with unpaid accounts after a reasonable period, in accordance with our Data Retention Policy. 2. Payment Methods
2.1 Authorized Payment Methods
You authorize us to charge the subscription fees to your chosen payment method, including credit or debit cards, PayPal, or direct debit. We may use third-party payment processors like Stripe to handle payment transactions securely.
2.2 Payment Authorization
By continuing to use the service, you affirm your authorization for us to charge your selected payment method. In case of any failed payments, you will be required to pay the outstanding amount directly.
2.3 No Refunds for Partial Use
All fees for the service are non-refundable. No refunds will be given for partially used subscription periods, upgrades, or unused months of service.
3. Price Changes
We reserve the right to adjust the price of our subscriptions at any time. We will inform you of any changes to the pricing at least 30 days before the new rates are effective. If you disagree with the new prices, you may choose to cancel your subscription. Continued use of the service after the price change will indicate your acceptance of the new rates.
4. Currency and Tax Disclosures
11. Term and Termination
11.1. Term
This Agreement becomes effective as of the subscription plan’s order date (“Effective Date”) and will remain in force until (a) the end of the selected subscription term or (b) terminated by either party as outlined herein.
11.2. Termination by the Company
Acme Technologies Inc. may terminate this Agreement or any active subscription plan at any time, with or without cause, by providing notice to the customer. Additionally, we reserve the right to suspend or terminate your account for reasons including, but not limited to, non-payment, misuse of the service, or violation of our terms and policies.
11.3. Effects of Termination
Upon termination or expiration of this Agreement for any reason:
(a) You must immediately stop using OnlineFreeInvoice and all associated services.
(b) Upon request, each party will return or destroy all Confidential Information of the other party, except where retention is required by law or internal policies, in which case such data will remain subject to confidentiality obligations.
(c) All unpaid and undisputed fees accrued prior to termination become immediately due and payable.
11.4. Survival
Any provisions of this Agreement that, by their nature, should survive termination (including but not limited to confidentiality, payment obligations, limitations on liability, and intellectual property) will remain in effect following the termination or expiration of this Agreement.
11.5 Continuity & Transfer of Ownership In the event of a merger, acquisition, or sale of OnlineFreeInvoice or its parent entity, your data and account information may be transferred to a successor entity. You will be notified of such transfer in advance with the option to delete your account.
11.6 Force Majeure Acme Technologies Inc. shall not be held liable for delays or failures resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, internet outages, or governmental actions.
The OnlineFreeInvoice platform may contain links to or integrations with third-party technologies, websites, applications, or services (“Third-Party Services”). These are provided solely as a convenience to the Customer. Acme Technologies Inc. does not control, endorse, or make any representations regarding the accuracy, content, or quality of any Third-Party Services. If the Customer has any concerns regarding a Third-Party Service, they should contact the administrator or provider of that service directly.
Any interactions or transactions between the Customer and a third party through the use of the Service are strictly between the Customer and the third party. Acme Technologies Inc. shall not be liable for any damages or losses arising from such interactions or the Customer’s reliance on any Third-Party Services. The Customer agrees to comply with all applicable terms and conditions related to any Third-Party Services.
Furthermore, the OnlineFreeInvoice platform may include content generated by artificial intelligence technologies provided by third-party vendors (“AI Content”). While this content is intended to assist the Customer, Acme Technologies Inc. does not warrant the accuracy, completeness, or suitability of any AI-generated content and disclaims, to the fullest extent permitted by applicable law, any liability related to its use. The Customer assumes full responsibility for their interpretation, reliance upon, and use of any AI Content.
Unless explicitly authorized by Acme Technologies Inc., the Customer is prohibited from linking to, framing, or extracting data from the OnlineFreeInvoice platform. The Company reserves the right to disable or restrict any unauthorized activities involving the Service.
13.1. Downgrading from Paid to Free Plan
You may cancel your paid subscription at any time. When you cancel or if your subscription expires due to non-renewal, your account will automatically be downgraded to the free plan. No features of the free plan will be lost, and you may continue to use OnlineFreeInvoice with limited access.
To cancel your paid subscription:
Go to “Language & Settings” > “Card Charges” tab.
Select “Cancel My Subscription.”

You will retain access to the paid features until the end of your current billing cycle, after which the downgrade will take effect.
13.2. Account Closure
If you no longer wish to use OnlineFreeInvoice at all and want to delete your account and data, follow these steps:
Go to “Language & Settings” > “My Name & Email” tab.
Select “Account Removal.”
Important:
Once your account is removed, all data, documents, and history associated with your account will be permanently deleted and cannot be recovered.
Account removal results in immediate termination of access to the platform.
User agrees that they may NOT:
(a) use the OnlineFreeInvoice platform or any content or information available through the platform for any unauthorized purpose;
(b) interfere with or damage the platform including, without limitation, through the use of viruses, spyware, malware, harmful code, flood pings, denial of service attacks, packet or IP spoofing, forged routing, or methods that in any way reproduce or circumvent the navigational structure or presentation of the platform;
(c) use the platform to collect, store, or distribute (e.g., “phish”) any information about any other person in violation of any law, including information related to persons under 13 years of age;
(d) use the platform to send or store infringing, sexually explicit, harassing, obscene, threatening, libelous, or otherwise unlawful or tortious communications or material, including material harmful to children or in violation of third-party privacy rights;
(e) use the platform to impersonate any person, company, or entity;
(f) modify, sublicense, assign, give, transfer, translate, sell, resell, reverse engineer, decipher, decompile, or otherwise disassemble any code, data, content, services, or information available through the platform or any software components used on or for the platform or access thereto;
(g) attempt to gain unauthorized access to the platform or its related systems or networks;
(h) use any third-party software or scripts to utilize the platform or collect information from or through the platform;
(i) distribute, re-distribute, or permit transfer of the platform or content or information available through the platform in violation of any export or import law and/or regulation or restriction of Canada or any other applicable jurisdiction, or without all required approvals, licenses, or exemptions;
(j) use the platform to disseminate, store, or transmit unsolicited messages, chain letters, or unsolicited commercial e-mail;
(k) use the platform to disseminate, store, or transmit files, graphics, software or other material that actually, impliedly, or potentially infringes the intellectual property rights of any person, entity, partnership, organization, or association;
(l) adapt, translate, or create any derivative works of the platform or merge the platform into any other software;
(m) use the platform to display or promote spyware, adware, spam, or other malicious programs or code; counterfeit goods; items subject to embargo; hate materials or content encouraging violence or terrorism; goods from protected species; recalled goods; surveillance or hacking tools; illegal drugs or paraphernalia; unlicensed medications; underage tobacco or alcohol sales; pornography; prostitution; human body parts; fireworks or explosives; hazardous materials; fake IDs; gambling or securities fraud; regulated professional services without licenses; non-transferable or restricted goods like event or airline tickets; unpackaged foods; or weapons and accessories;
(n) remove, alter, or obscure any proprietary notice (including copyright or trademark) of Acme Technologies Inc., its affiliates, partners, suppliers, or licensors, or modify any display of the OnlineFreeInvoice platform;
(o) share access to their account or utilize multiple accounts to avoid paid plan limitations;
(p) access or utilize the platform without permission on a stolen or lost device;
(q) assist or encourage any third party in performing any of the above.
14.1 AI Content Disclaimer
Any suggestions, summaries, or recommendations generated via embedded artificial intelligence tools are provided as informational assistance only. You are solely responsible for reviewing such outputs and ensuring their compliance with your jurisdictional, legal, or business requirements. AI-generated outputs must not be treated as final legal, financial, or tax advice.
The OnlineFreeInvoice platform may contain links to other Internet sites and resources. User hereby acknowledges and agrees that:
(i) Acme Technologies Inc., the provider of OnlineFreeInvoice, shall not be responsible for the availability of such external sites or resources; and
(ii) Acme Technologies Inc. does not endorse and is not responsible or liable for any content, advertising, goods, or other materials on or available from such websites or resources.
User agrees that Acme Technologies Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of, or reliance upon, any such content, goods, or services available on or through any such website or resource.
To the fullest extent permitted by the laws of the Province of British Columbia and the applicable federal laws of Canada:
User understands and agrees that they are solely responsible for determining the suitability of OnlineFreeInvoice for their intended purposes. The Platform is provided by Acme Technologies Inc. strictly on an “as-is” and “as available” basis, without warranties or conditions of any kind, either express or implied.
Acme Technologies Inc. does not guarantee that OnlineFreeInvoice or any associated services, features, or outputs (such as invoice formats or reports) comply with the regulatory or legal requirements applicable in the User’s jurisdiction or industry. It is the User’s sole responsibility to ensure compliance with applicable laws and obligations.
User accesses and uses the Platform at their own risk and is solely responsible for any resulting loss, damage, or costs incurred.
Acme Technologies Inc. makes no representations or warranties regarding the completeness, security, reliability, quality, accuracy, or availability of the Platform. Without limiting the foregoing, Acme Technologies Inc. does not warrant that the Platform will operate uninterrupted or be error-free, that any defects will be corrected, or that the Platform or the servers hosting it are free of viruses or other harmful components.
To the fullest extent permitted by law, Acme Technologies Inc. disclaims all warranties, express or implied, including but not limited to warranties of merchantability, non-infringement, and fitness for a particular purpose.
In no event shall Acme Technologies Inc., its affiliates, officers, directors, employees, agents, licensors, successors, or assigns (collectively, the “Acme Technologies Parties”) be liable to User or any third party for any direct, indirect, incidental, consequential, special, or exemplary damages, including but not limited to:
loss of revenue or profits;
business interruption;
loss or corruption of data;
system failure;
unauthorized access or use of the User’s account or information;
damages related to goods or services purchased through third-party links;
issues with third-party vendors or integration partners;
or damages related to the inability to access or use the Platform or services, whether based on warranty, contract, tort (including negligence), or any other legal theory.
Furthermore, the Acme Technologies Parties shall not be liable for any failure or delay in performance due to events outside their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government orders or regulations, labor disputes, internet service interruptions, or software or hardware failures.
Maximum Liability: Without limiting the above, the total aggregate liability of Acme Technologies Inc. for any claims arising out of or related to the use of the Platform shall not exceed one hundred Canadian dollars (CAD $100.00), regardless of the cause of action or theory of liability.
The User agrees that this limitation of liability is a fair allocation of risk and a fundamental element of the basis of the agreement between the parties.
Customer agrees to defend, indemnify, and hold harmless Acme Technologies Inc., the provider of OnlineFreeInvoice, and its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, legal actions, suits, proceedings, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:
(i) Customer’s breach or alleged breach of this Agreement; or
(ii) Customer’s use or misuse of the OnlineFreeInvoice platform or any of its services.
This obligation to indemnify shall survive the termination or expiration of this Agreement and Customer’s use of the Service.
18.1. Definition
“Confidential Information” refers to any non-public information disclosed by one party to the other, whether in written, oral, or electronic form, that is identified as confidential or that should reasonably be understood to be confidential. This includes but is not limited to business operations, software code, pricing, technical data, customer lists, and product plans. For clarity, all information relating to OnlineFreeInvoice and its associated services shall be considered the Confidential Information of Acme Technologies Inc.
18.2. Protection and Use
Each party agrees to protect the other party’s Confidential Information using at least the same degree of care it uses for its own confidential information, and in any case, no less than a reasonable standard of care. Confidential Information may only be used to fulfill obligations or exercise rights under this Agreement and may only be shared with individuals or entities who have a legitimate need to know and are bound by equivalent confidentiality obligations. Each party is fully responsible for the actions of those it shares Confidential Information with.
18.3. Exclusions
Confidential Information does not include information that:
(a) is or becomes publicly available without breach of this Agreement;
(b) was lawfully known to the receiving party before disclosure;
(c) is received from a third party without breach of any obligation; or
(d) is independently developed without use of or reference to the Confidential Information.
18.4. Legal Disclosure
Either party may disclose Confidential Information if required by law, regulation, or court order, provided reasonable notice (if legally allowed) is given to the other party to seek protective measures. Disclosure may also occur as reasonably necessary to enforce the terms of this Agreement.
Some jurisdictions, including certain provinces in Canada, do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Therefore, some of the limitations or disclaimers set forth in this Agreement may not apply to you.
To the extent that any applicable provincial law prohibits the exclusion of certain warranties or the limitation of liability as outlined in this Agreement, Acme Technologies Inc. will comply with such laws. In such cases, the liability of Acme Technologies Inc. and its affiliates shall be limited to the fullest extent permitted by the applicable laws of the province in which the Customer resides or does business.
19.1 Export Controls
The Service, software, and related technology may be subject to export controls. You agree not to export, re-export, or use the Service in any country or region subject to trade sanctions or embargoes imposed by Canada, the U.S., or other jurisdictions.
Customer hereby grants Acme Technologies Inc. permission to identify Customer by name and logo as a user of the OnlineFreeInvoice platform in marketing and promotional materials, including the Company’s website, presentations, and other communications. This usage is subject to Customer’s right to withdraw such consent at any time by providing written notice. Upon receipt of such notice, Acme Technologies Inc. will have up to thirty (30) days to remove Customer’s name and logo from future materials.
These Terms, along with our Privacy Policy, Cookie Policy, and Data Processing Agreement (available upon request), constitute the entire agreement between you and Acme Technologies Inc. regarding use of the Service. They supersede all prior oral or written communications, proposals, and representations.
The Service is not intended for individuals under the age of 13. You may not create an account or upload any data related to individuals under 13 without verified parental or legal guardian consent. We reserve the right to delete accounts violating this rule without notice. Please ensure that your Privacy Policy and Cookie Policy are also updated and linked accordingly. A Data Processing Agreement (DPA) template should be available upon request for GDPR-compliant customers.
To the fullest extent permitted under applicable law, the OnlineFreeInvoice platform, operated by Acme Technologies Inc., is provided on an “as-is” and “as-available” basis, without warranties or guarantees of any kind.
Acme Technologies Inc., including its affiliates, licensors, and service providers, makes no express, implied, or statutory warranties, including but not limited to warranties of merchantability, non-infringement, title, accuracy, reliability, or fitness for a particular purpose.
OnlineFreeInvoice is not a substitute for professional financial, accounting, legal, or tax advice. We do not warrant that your use of the platform will ensure compliance with any accounting or legal standards, nor that reports, calculations, or outputs will be entirely accurate or suitable for your specific business objectives.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any issues will be corrected. Performance disruptions caused by user-provided content, third-party applications, internet connectivity, or systems beyond our control are expressly disclaimed.
You may have certain rights under consumer protection or other laws in your jurisdiction. Nothing in this disclaimer is intended to limit those rights where such limitations are not legally permitted. Where allowed by law, any statutory warranties will apply only for the minimum period required.
OnlineFreeInvoice, operated by Acme Technologies Inc., allows merchants to receive payments through a variety of third-party payment gateways, such as PayPal, Stripe, and others. Merchants may also accept manual payment methods, including bank transfers, cash, or cheques, at their sole discretion.
Important: Acme Technologies Inc. is not a payment processor and does not handle, hold, or transmit any payment funds. All financial transactions are processed by third-party providers selected by the merchant and are governed by their own terms and conditions.
We strongly recommend that merchants consider offering manual payment methods (e.g., bank transfers, cheques, or in-person cash payments), especially in cases where they want to avoid gateway transaction fees or delays. However, the choice of payment method is entirely at the discretion and responsibility of the merchant.
Acme Technologies Inc. is not responsible for:
Payment failures, delays, or chargebacks
Disputes between merchants and their customers
Fraud, errors, or technical issues with third-party payment platforms
The accuracy or legality of payment transactions initiated through or outside of the platform
Merchants are solely responsible for:
Managing and maintaining their payment gateway connections
Ensuring legal compliance with applicable payment, financial, and tax laws
Resolving any issues directly with the third-party provider or end user
Acme Technologies Inc. may transfer or assign its rights and/or delegate its responsibilities under this Agreement to any individual or entity at its sole discretion and without prior notice or consent from the Customer. The Customer, however, may not transfer or assign any of its rights or delegate any of its obligations under this Agreement without obtaining prior written approval from Acme Technologies Inc. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Nothing in this Agreement shall be construed to confer any rights or benefits on any third party, unless explicitly stated or as provided for under the terms of this Agreement.
All notices required or permitted under this Agreement must be made in writing. If the Customer needs to provide notice to Acme Technologies Inc., such notice must be sent via email to: support@onlinefreeinvoice.com. Acme Technologies Inc. will deliver notices to the Customer using the contact information provided in the Customer’s account, including by email. Unless the notice pertains to a breach of this Agreement, routine communications may be provided via email or displayed within the OnlineFreeInvoice web-based platform.
The parties acknowledge that certain rights provided under this Agreement—particularly those concerning proprietary information, intellectual property, and the integrity of the Service—are of a distinct and irreplaceable nature. Any violation or anticipated violation of such provisions by either party could result in harm that cannot be sufficiently remedied by monetary damages alone.
Accordingly, in the event of a breach or threatened breach of this Agreement, Acme Technologies Inc. or the Customer (as applicable) shall have the right to seek injunctive or other equitable relief from a court of competent jurisdiction, without the requirement of posting a bond or other security. Such relief shall be in addition to any other legal remedies available.
Nothing in this clause shall limit Acme Technologies Inc.’s ability to pursue compensation or enforcement of its rights under law, nor shall it restrict the Customer from seeking damages under applicable legal provisions. However, under no circumstance shall the Customer have the right to suspend or enjoin Acme Technologies Inc.’s operations or use of its platform based on this Agreement.
Customer agrees to comply with all applicable export control and trade regulations, including but not limited to those imposed by the Government of Canada and international authorities. This includes, where applicable, the U.S. Export Administration Regulations (EAR), regulations enforced by the U.S. Office of Foreign Assets Control (OFAC), and any other laws that restrict the transfer, distribution, or access to software, data, or technology across borders.
Customer acknowledges that access to and use of the Service, including any related software, data, or technical information, may be subject to restrictions under these export control laws. It is the Customer’s sole responsibility to ensure that neither the Service nor any associated content or output is exported, re-exported, or made available in violation of such laws.
Customer further agrees not to use the Service in any way that would result in a violation of trade embargoes or sanctions. If Customer breaches any such export compliance obligations, they shall fully indemnify and hold Acme Technologies Inc. harmless from and against any resulting claims, losses, or liabilities.
This Agreement shall be governed by, interpreted, and enforced in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without giving effect to any principles of conflicts of law. The parties agree that any legal action or proceeding arising under or relating to this Agreement shall be brought exclusively in the courts located in British Columbia, and each party irrevocably submits to the jurisdiction of such courts with respect to any such legal matter.
Any personal information collected through the Customer’s use of the Service is subject to the Privacy Policy of Acme Technologies Inc., which outlines how data is collected, used, and protected. By using the Service, Customer agrees to the terms of the Privacy Policy, available at: https://onlinefreeinvoice.com/privacy.
